This is a sample Non-Disclosure Agreement, based on two fictitious companies. The "Owner" of the trade secret which is to be protected is interested in obtaining venture capital financing, but realizes that to properly evaluate the Owner's company, the venture capital firm will have to undertake detailed review of the Owner's company, including reviewing the Owner's anticipated business plans for the next years. Also, during such review, the venture capital firm may stumble across manufacturing secrets, etc., that the Owner wants to protect.
