LIMITED PARTNERSHIP AGREEMENT - Example Document

In this sample Limited Partnership Agreement, one general partner
and four limited partners join to acquire and finance the purchase and
maintenance of a building known as Edgemoor Plaza. The General
Partner is not contributing any capital, and the Limited Partners
will contribute the sum of $400,000 to finance the project.
This form is intended for use by attorneys or other
persons who have previously formed limited partnerships,
and/or who specialized in corporate/limited partnership matters.
In addition to completing a limited partnership agreement, all
states require a limited partnership to file a "Certificate
of Limited Partnership" with the Secretary of State or other
applicable state organization, prior to the LP being deemed
formed. This site DOES NOT prepare a Certificate of Limited
Partnership for you. Limited Partnerships interests are deemed securities
under federal and all state securities laws, and are regulated
